2. Scope of services
VovidaSolutions provides professional consulting and technical services, including but not limited to:
- HRIS consulting, integration support, stabilization, and technical analysis;
- Payroll interface review, troubleshooting, documentation, and support;
- HRIS training, coaching, and certification preparation support;
- Demo environment preparation for presales or project teams;
- Private AI server scoping, sizing, installation support, and technical handover;
- HR document assistant or knowledge base setup;
- Dedicated server preparation with selected tools and documentation.
Services are generally provided on a custom basis after review of the client’s request, project context, systems involved, expected deliverables, and timeline.
3. Quotes and proposals
Information submitted through the website, including quote request forms, does not automatically create a contract or obligation for VovidaSolutions to provide services.
A service engagement begins only when the parties agree on the scope, price, timeline, deliverables, and any applicable payment terms in writing.
Quotes and proposals may include assumptions, exclusions, validity periods, dependencies, and client responsibilities. If the client’s requirements change, the quote or timeline may need to be revised.
4. Client responsibilities
The client is responsible for providing accurate, complete, and timely information needed to perform the agreed services.
Depending on the project, the client may be responsible for:
- Providing access to relevant systems, documentation, environments, or stakeholders;
- Confirming business requirements and expected deliverables;
- Validating internal legal, security, data protection, HR, payroll, or compliance requirements;
- Ensuring that any data shared with VovidaSolutions is authorized for sharing;
- Reviewing outputs, recommendations, configurations, and deliverables before operational use;
- Maintaining backups, access governance, and internal approval processes.
5. Sensitive data and credentials
Clients should avoid sending unnecessary employee personal data, payroll data, confidential documents, or system credentials through public forms or unsecured email.
If a project requires access to sensitive information, the parties should agree on an appropriate exchange method, access process, and scope of use before transmission.
VovidaSolutions may refuse to process or retain information that appears unnecessary, excessive, unsafe, or outside the agreed scope.
6. Service delivery
Delivery methods may include remote consulting, analysis, workshops, training sessions, documentation, technical configuration, server preparation, demo support, or written recommendations.
Delivery timelines are estimates unless expressly confirmed as binding in writing. Timelines may depend on client availability, access to systems, third-party tools, hosting providers, technical constraints, or missing information.
7. Third-party platforms, tools, and services
VovidaSolutions may provide services related to third-party HRIS, HCM, AI, hosting, infrastructure, or software platforms.
VovidaSolutions does not control third-party platforms and is not responsible for their availability, pricing, licensing terms, outages, limitations, security incidents, product changes, or vendor decisions.
The client is responsible for obtaining and maintaining any licenses, subscriptions, vendor permissions, hosting accounts, cloud accounts, software rights, or third-party approvals required for the project, unless otherwise agreed in writing.
8. Independent services and trademarks
Product names, platform names, software names, trademarks, and vendor names mentioned on this website or in service discussions are used only to describe possible client environments or areas of work.
Unless expressly stated in writing, VovidaSolutions is not affiliated with, sponsored by, endorsed by, or officially appointed as a training provider or partner by the software vendors referenced on this website.
9. Training and certification preparation
Training and certification preparation services are designed to help participants understand concepts, prepare more effectively, and improve practical knowledge.
VovidaSolutions does not guarantee that a participant will pass any certification exam, obtain any vendor credential, or meet any third-party certification requirement.
Clients and participants remain responsible for verifying official exam requirements, registration conditions, vendor rules, learning paths, and certification policies with the relevant vendor.
10. Private AI and server services
Private AI server and knowledge base services may involve server sizing, installation support, configuration, documentation, and handover.
Server sizing recommendations are based on the information available at the time of assessment, including use case, number of users, document volume, model choice, privacy expectations, and performance goals.
VovidaSolutions does not guarantee that any AI model, server, software stack, or retrieval system will produce perfect, complete, legally compliant, or error-free outputs. AI-generated outputs should be reviewed by qualified users before being used for decisions, HR communications, payroll action, employee support, or compliance-sensitive tasks.
11. Fees and payment
Fees are defined in the applicable quote, proposal, invoice, or written agreement.
Payment terms may vary depending on the project. VovidaSolutions may require full payment, partial prepayment, milestone payment, or payment before delivery, depending on the agreed scope.
Late payment may result in delayed delivery, suspension of work, or refusal to begin additional work until outstanding amounts are paid.
12. Cancellations and refunds
Custom consulting, training, demo environment, and server configuration services are quoted individually.
Once work has started, fees already paid are generally non-refundable, except where required by law or agreed in writing.
If a project is cancelled before work starts, refund eligibility is reviewed case by case.

13. Intellectual property and deliverables
Unless otherwise agreed in writing, deliverables prepared specifically for the client may be used by the client for internal business purposes after payment of the applicable fees.
VovidaSolutions retains ownership of its pre-existing methods, know-how, templates, frameworks, generic documentation structures, reusable code snippets, configuration approaches, and internal tools.
The client may not resell, redistribute, publish, or commercialize VovidaSolutions deliverables outside the agreed scope without written permission.
14. Confidentiality
Each party should treat non-public business, technical, operational, financial, HR, or project information received from the other party as confidential, unless the information is already public, independently known, or required to be disclosed by law.
More detailed confidentiality obligations may be agreed in a separate written agreement, non-disclosure agreement, quote, or statement of work.
15. Limitation of liability
To the maximum extent permitted by applicable law, VovidaSolutions is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from the use of the website or services.
VovidaSolutions is not responsible for client decisions, third-party platform behavior, vendor changes, hosting failures, security incidents outside its control, data provided by the client, or use of deliverables beyond the agreed scope.
Any liability, if applicable, is limited to the amount paid by the client for the specific service giving rise to the claim, unless mandatory law requires otherwise.
16. No professional legal, tax, financial, or compliance advice
Services and website content are provided for consulting, operational, technical, and informational purposes. They do not constitute legal, tax, financial, cybersecurity certification, HR compliance, or data protection legal advice.
Clients should consult qualified professionals where legal, tax, security, compliance, regulatory, employment, or data protection advice is required.
17. Changes to these terms
VovidaSolutions may update these Terms of Service from time to time. The updated version will be posted on this page with a revised date.
Continued use of the website or services after changes are posted may indicate acceptance of the updated terms, unless otherwise required by law.
18. Governing law
These Terms of Service are generally governed by the laws applicable to VovidaSolutions LLC as a Wyoming limited liability company in the United States, unless otherwise required by mandatory law or agreed in writing.
